Malta has one of the most attractive tax regimes in the EU along with an efficient modern business and banking sector. Company Formations Malta – What’s Required ???Company NameIn order to establish a company we will need the proposed name of the company. You can decide on a name yourselves, request a list of our pre-approved names or use one of our pre-registered shelf companies. Please note, if you select you own name and it is rejected by the Companies Registrar, there will be an extra charge for each rejected name. Company ObjectivesThe Memorandum and Articles of Association need to include the objectives of the company. Certified copy of passportWe require a certified copy of the passports of the beneficial owners, the shareholders, and the directors along with their dates of birth, addresses and professions. The passport can be certified as being a true copy by a lawyer, a notary public, or by the Malta embassy (or consulate) in your country of origin and should not expire within the next six months. Copy of utility billWe require a recent original utility bill (e.g. electricity, water, telephone, gas bill, etc.) as proof of the address of the beneficial owners, the shareholders, and the directors. These should be no more than 3 months old. Mobile telephone, satellite TV, ISP, and council tax bills are not acceptable as proof of address. Bank ReferenceA bank reference is required for each beneficial owner, shareholder, and director. ShareholdersA Malta company requires at least one shareholder. If the beneficial owners require complete anonymity, then our own nominee companies can be used to hold the shares in trust without the names of the beneficial shareholders being disclosed. If the beneficial shareholders do not need anonymity, then the shares may be registered in their names. DirectorsIn the case of international business companies, it is important, both from a tax point of view and for administrative purposes, that the management and control of the company are exercised within Malta. If this is the case, then it is advisable for not more than one director to be appointed from abroad. Our office is able to provide local directors in addition to the ones mentioned above. These directors will be able to conduct the functions through guidance from the beneficial owners, thus ensuring the smooth and timely operation of the company. Company SecretaryMalta company law requires that every Malta Company has a Company Secretary. Our office can provide this service through a nominee secretary, provided by one of our nominee companies. Registered office addressA Malta Company is required by law to have a registered office within Malta. Our Virtual Office service includes the provision of a dedicated telephone number, fax number and registered address within Malta. The registered office and post of Company Secretary need to be provided by a Maltese tax resident so that the new company will be considered as being resident in Malta and will therefore benefit from the favourable tax regime in Malta. Share CapitalA private company registered in Malta must have a minimum authorised share capital of € 1,165 of which € 240 must be paid-up. The number of shares can be altered at a later date for a nominal fee. TimescalesIt takes approximately one to two weeks to register a company. A shelf company may be used almost immediately as soon as we receive the requisite documents.
